01. Agreement to Terms and Conditions

By using the Service, you agree to all of these Terms of Service, as well as any other operating rules, policies, and procedures that may be published from time to time by MotioAI in connection with the Service. Additionally, certain services offered through the Service may be subject to additional terms and conditions that are incorporated into these Terms of Service by reference. MotioAI reserves the right to refuse the Service to any person or entity and change its eligibility criteria at any time, at its sole discretion. In any jurisdiction where this provision is prohibited by law, the right to access the Service is revoked.

02. Modification of Terms of Service

At its sole discretion, MotioAI may modify or replace any of the Terms of Service, or change, suspend, or discontinue the Service (including without limitation, the availability of any feature, database, or content) at any time by posting a notice on the MotioAI websites or Service or by sending you an email. MotioAI may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability. It is your responsibility to check the Terms of Service periodically for changes. Your continued use of the Service following the posting of any changes to the Terms of Service constitutes acceptance of those changes.

03. Licensing Terms

Subject to your compliance with this Agreement, the conditions herein and any limitations applicable to MotioAI or by law:

• (i) You are granted a non-transferable, non-sublicensable, non-assignable license to access and use the Service for business or personal use.
• (ii) You own all visual and media editions you create with the Services and we hereby assign to you all rights, title and interest in and to such media assets for your personal or commercial use.
• (iii) You are fully responsible for your generated assets and media streams, and we do not take any responsibility for any potential damages caused to your business due to the use of MotioAI.

Otherwise, MotioAI reserves all rights not expressly granted under these Terms of Service. Each person must have a unique account and you are responsible for any activity conducted on your account. A breach or violation of any of our Terms of Service may result in an immediate termination of your right to use our Service.

04. Indemnification

You agree to indemnify, defend, and hold harmless MotioAI, its affiliates, and their respective directors from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys fees and costs, arising out of or in any way connected with your access to or use of MotioAI, including, but not limited to, claims related to copyright infringement or intellectual property rights.

05. Refunds

Our default policy is not to issue refunds due to the computing cost involved in rendering high-fidelity interactive canvas streams and vector video segments using artificial intelligence platforms. However, we may consider refund requests on a case-by-case basis at our sole discretion. The decision to provide a partial or full refund, if any, will be made by MotioAI.

06. User-Provided Content

By uploading assets or canvas matrices to MotioAI, you retain all rights and ownership of the content you provide. However, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and modify your uploaded assets for the purpose of providing our services, ensuring their operational quality, and enhancing our models. This may include using your structural datasets in an aggregated and anonymized manner to improve the performance of our local canvas rendering systems, without ever disclosing your personal information. By uploading assets, you represent and warrant that you have the necessary rights and permissions to share those configurations in the manner described in these Terms.

07. Modifications to the Service and Prices

We reserve the right to modify or discontinue, temporarily or permanently, any part of our Services with or without notice. We reserve the right to change the pricing structure of our product. We will try to exempt existing customers from those changes. However, we may choose to change the prices for existing enterprise nodes. If we do so, we will give at least 7 days notice and will notify you via the email address on record. We may also post a notice about changes on our website.

08. Uptime, Security, and Privacy

Your use of the Services is at your sole risk. We provide these Services on an “as is” and “as available” basis. We take uptime of our real-time whiteboard clusters seriously but do not offer service-level agreements for most of our standard consumer paths yet. We reserve the right to temporarily disable your account if your programmatic workspace usage significantly exceeds the average multi-tenant system usage boundaries. Of course, we will contact the account owner before taking any action, except in rare cases where the level of load may immediately degrade performance metrics for neighboring accounts.

09. Account and Usage Policies

MotioAI reserves the right to suspend or ban your access to the Services at any time, and for any reason. You may not use the Services for competitive scraping or model duplication research. You may not reverse engineer the underlying vector serialization mechanisms. You may not use automated scraping scripts to ingest, interact with, or spin up Assets through the platform headers. Only one user may leverage the workspace nodes per registered account seat. Each unique designer may only have one active tier sandbox.
